About Amy
“I am a problem solver for small businesses”.
With over two decades of experience representing small businesses, Amy has been there before and has a strong understanding of the complex legal landscape and other challenges that small businesses face every day. However, what sets Amy apart from other attorneys is that she recognizes that each business is unique, and she takes the time to listen to her clients to really understand their strengths, challenges and goals.
Amy believes that effective communication is essential to an attorney client relationship. She works hard to present complex legal concepts to clients in a concise way to allow them to make informed decisions. She also understands the importance of responding to her clients’ communications in a reasonable time frame.
Amy also understands that a small business is more than just a corporation or a limited liability company, but rather is one or more individual owners working hard to provide for themselves and their families. She knows that the work that she does will have a real impact on real people. Amy also recognizes that the legal work that small businesses require must be accomplished in a reasonable and cost-effective manner.
Amy works with entrepreneurs and their professional advisors to determine the best choice of entity for their small business. She is experienced in planning for and forming limited liability companies, corporations, not for profit corporations, professional service corporations and professional service limited liability companies.
She regularly counsels small businesses regarding day-to-day business matters including compliance with ever increasing and complex federal and state laws and regulations. Amy also regularly reviews, drafts and negotiates complex commercial contracts, including non-disclosure agreements, shareholder agreements, limited liability company operating agreements, employment agreements, noncompete agreements, technology license agreements and supply agreements.
Amy has represented numerous health care providers and other professionals in regard the planning for and formation of professional service corporations and limited liability companies. She also advises health care providers in regard to general business and compliance issues including the New York corporate practice of medicine rules, the self-referral law (Stark), the anti-kickback law, HIPAA and the New York State Education Law (fee splitting).
Amy has represented many clients in regard to the purchase, sale and merger of various types of businesses including an automobile dealership, a construction company, restaurants, gift shops, manufacturers, distributors, insurance agencies, technology companies, physician practices, a records storage business, software companies, printing businesses, franchises, a temporary employment business, golf courses and a garbage disposal business.
Amy also advises her small business clients in regard to employment matters including wage and hour issues, executive employment agreements, independent contractor agreements, employee handbooks, protection of intellectual property, non-competes, hiring and firing, severance agreements and equity compensation agreements. She also represents employees regarding employment agreements, severance agreements, non-compete agreements and equity compensation agreements.
